Hence, the unissued shares retained in the treasury here is 300,000. The calculation is as below:
1 million - 50,000 - 150,000 = 300,000
There is another reason for not issuing all the authorised shares. The company looks to maintain a controlling interest and prevent any possible hostile takeover in the future.
Let us understand with an example using Amazon. It is stated in the corporate charter that the total authorised stock of the company includes 5 billion common and 500 million preferred stock shares. Hence, Amazon can increase the authorised stock if the unissued common stock is not enough to help convert it into preferred stock.
